Terms of Service

Please read these terms carefully before placing an order or engaging in any business with Coropak. By submitting an inquiry or purchase order, you agree to be bound by the following terms and conditions.

Parties & Scope

These Terms of Service ("Terms") govern all business transactions between Coropak (hereinafter "we," "us," or "the Company"), a corrugated plastic manufacturer registered at No. 6 Huaye Road, Dongbang Town, Changshu 215534, China, and any buyer, importer, wholesaler, distributor, or business customer ("Customer" or "you") who places an inquiry, request for quotation, or purchase order with Coropak.

These Terms apply to all sales of PP corrugated sheets, waterproof boards, custom-fabricated plastic sheet products, and any related services offered by Coropak. By submitting a purchase order, signing a pro forma invoice, or otherwise engaging in a commercial transaction with us, you acknowledge that you have read, understood, and agreed to these Terms.

Orders & Acceptance

All orders are subject to written confirmation by Coropak. An order is deemed accepted only upon Coropak's issuance of a written order confirmation or pro forma invoice signed by an authorized representative.

Quotations provided by Coropak are valid for 30 calendar days from the date of issue unless otherwise stated. Prices quoted are based on the specifications, quantities, and delivery terms stated at the time of quotation. Changes to these parameters may result in revised pricing.

Coropak reserves the right to decline any order at its sole discretion without liability.

Customization & Specifications

Coropak offers extensive customization options including, but not limited to: sheet thickness, dimensions, weight, color, printing (flexographic and screen), flame retardancy, UV stabilization, corona treatment, lamination, and ESD anti-static treatment.

The Customer is responsible for providing accurate and complete product specifications prior to order confirmation. Coropak will manufacture products strictly according to the agreed specifications. Any changes to specifications after order confirmation must be submitted in writing and may affect pricing, lead time, and minimum order quantities.

For custom-printed or custom-cut orders, the Customer is responsible for approving final artwork and dimension proofs before production commences. Coropak shall not be liable for defects resulting from Customer-provided design files or incorrect specifications.

Minor variations in color, dimensions (within industry-standard tolerances of ±2%), and weight are inherent to the manufacturing process and do not constitute a defect.

Pricing & Payment

All prices are quoted in USD (or as otherwise agreed in writing) and are exclusive of applicable taxes, duties, customs fees, and freight charges unless explicitly stated otherwise.

Standard payment terms are 30% deposit upon order confirmation and 70% balance payment prior to shipment, unless alternative terms have been agreed in writing. For new customers, full payment in advance may be required.

Payments shall be made via T/T (bank wire transfer), L/C (letter of credit), or other methods agreed in the sales contract. The Customer is responsible for all bank transfer fees on their end.

Coropak reserves the right to suspend production or withhold shipment if payment is not received by the agreed due date. Outstanding balances may be subject to a late payment fee of 1.5% per month.

Delivery & Shipping

Delivery terms (Incoterms) will be specified in the sales contract or pro forma invoice (e.g., FOB Qingdao, CIF, EXW). The applicable Incoterms version shall be Incoterms® 2020.

Lead times begin from the date of order confirmation and receipt of deposit. Coropak's standard lead time is 10-25 business days depending on order complexity and volume. Rush orders may be accommodated subject to production capacity.

Estimated delivery dates are provided in good faith and are not guaranteed. Coropak shall not be liable for delays caused by carriers, customs clearance, port congestion, or other circumstances beyond our reasonable control.

Risk of loss or damage to goods passes to the Customer in accordance with the agreed Incoterms. The Customer is responsible for arranging appropriate cargo insurance where applicable.

Inspection & Claims

The Customer must inspect all goods upon receipt. Any claims regarding quantity discrepancies, visible damage, or non-conformance to agreed specifications must be submitted to Coropak in writing within 7 calendar days of the delivery date, accompanied by photographic evidence and a detailed description.

Claims submitted after this period will not be accepted. Coropak's liability for valid claims is limited to replacement of defective goods or issuance of a credit note at Coropak's discretion.

Claims do not entitle the Customer to withhold payment for undisputed portions of an invoice.

Warranty

Coropak warrants that products will conform to the agreed specifications at the time of shipment. This warranty does not cover defects arising from improper storage, handling, modification, misuse, or use beyond the product's intended application.

Products made from recycled polypropylene material are sold as-is with respect to color consistency and mechanical performance tolerances, and carry a limited warranty as specified in the individual sales contract.

No other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, are given by Coropak beyond those expressly stated herein.

Returns & Cancellations

Due to the custom-manufactured nature of our products, returns are not accepted unless the goods are confirmed defective or non-conforming per Section 6.

Order cancellations must be submitted in writing. Cancellations accepted before production commences will incur an administrative fee. Cancellations after production has started will forfeit the deposit and may incur additional charges for materials and labor already expended.

Standard (non-custom) stock items may be returned within 14 days of delivery in unused, original condition, subject to prior written approval and a restocking fee of up to 15%.

Intellectual Property

All trademarks, logos, designs, and technical documentation produced by Coropak remain the exclusive intellectual property of Coropak unless expressly transferred in writing.

The Customer warrants that any artwork, logos, or design files provided to Coropak for custom printing are owned by or licensed to the Customer, and that their use does not infringe any third-party intellectual property rights. The Customer shall indemnify Coropak against any claims arising from such infringement.

Confidentiality

Both parties agree to keep confidential any proprietary information, pricing, technical data, or business information disclosed during the course of their business relationship and not to disclose such information to any third party without prior written consent, except as required by law.

This obligation of confidentiality shall survive the termination of any business relationship between the parties for a period of three (3) years.

Limitation of Liability

To the fullest extent permitted by applicable law, Coropak's total liability to the Customer for any claim arising out of or in connection with any order shall not exceed the invoice value of the specific goods giving rise to the claim.

Coropak shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, or loss of data, even if Coropak has been advised of the possibility of such damages.

Force Majeure

Coropak shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, pandemics, strikes, raw material shortages, power outages, or disruptions to transportation and logistics networks.

In the event of a force majeure situation, Coropak will notify the Customer promptly in writing and will make reasonable efforts to resume performance as soon as practicable.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within 30 days, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on both parties.

Changes to Terms

Coropak reserves the right to update or modify these Terms at any time. The most current version will be published on our website. Continued engagement with Coropak following any update constitutes acceptance of the revised Terms.

For ongoing contractual relationships, the Terms in effect at the time of each individual order confirmation shall apply to that specific order.
